Position Overview:

Job Summary


Assist company lawyers in all stages of corporate transactions, regulatory matters and litigation management, as directed from time to time. Such assistance shall include the preparation of commercial contracts as well as documents, filings and written responses necessary to comply with federal, state and local regulations in the conduct of business activities, all under the supervision and direction of licensed company attorneys.

Job Duties and Responsibilities


1. Initial review, revision and negotiation of miscellaneous operating contracts and service agreements according to established contracting standards and under attorney supervision.


2. Maintain, revise and monitor the contract approval process and departmental statistics.


3. Maintain and improve filing systems for matters, contracts and litigation; assist with litigation management.


4. Assist with subpoena review, compliance and response.


5. Prepare initial response and company position regarding owner-operator and driver demands for unemployment compensation, workers’ compensation, unpaid remuneration, or other similar third-party demands upon the Company.


6. Assist monitoring changes to and trends in government and legislative policies at the federal, state, local and international level; provide pertinent information to attorneys and other team members.


7. Perform research and prepare memoranda relating to legal, compliance and business issues, as requested by supervising attorney.


8. Assist with departmental administration functions including systems implementation and/or maintenance, event planning and coordination.


9. Establish internal processes as necessary and appropriate.


10. Other duties as assigned.



Required Education


· College Education – BA or BS


· Valid paralegal certificate or significant paralegal experience in lieu of certification


· Paralegal certification is strongly preferred



Job Related Experience


· 5+ years paralegal experience required


· Excellent research and writing skills; experienced in performing thorough legal research and writing memoranda


· Good organizational skills; experienced at creating paper and electronic files (matter, contract and litigation) and implementing filing systems


· Software skills, including use of Microsoft Office software suite (Word, Excel and PowerPoint) and web-based applications, including strong research ability


· Experience in commercial contracting; both customer and vendor experience preferred


· Excellent verbal and written communication skills necessary to communicate effectively with internal and external customers


· Time management and organizational skills necessary to manage multiple projects, appropriately prioritize workload and plan for resources to meet deadlines and goals


· Ability to analyze, review, and make recommendations


· Ability to collaborate with and influence peers and senior management


· Ability to work in a fast-paced and deadline-oriented environment


· Self-motivated with critical attention to detail, deadlines and reporting


· Ability to work independently
