FedEx Express, South East Asia headquarters based in Singapore, is looking to recruit a passionate and energetic lawyer to join its vibrant team. The candidate should have 7-10 PQE with solid corporate commercial experience, particularly on complex procurement and customer contracts as well as strategic projects (such as mergers and acquisitions and corporate reorganizations).  We are looking for a team player who thrives in a fast-paced environment and can deal with varied and challenging business needs across Singapore, Malaysia, Philippines, Thailand, Indonesia and Vietnam.

Special Projects
Work with management on the structure and negotiation of transactions including integration matters, mergers and acquisitions, joint ventures, disposals and assist in the preparation of all related legal and regulatory documentation in order to allow business to take advantage of opportunities and optimize risks.

Contracts Negotiations and Review
Advise regional and divisional management on a broad array of business transactions, including purchase and lease of facilities and equipment, procurement of goods and services, technology agreements, construction agreements including the review, draft, structure and negotiation of same across the South East Asia region as well as monitoring corporate compliance with contract and signatory policies and procedures. Assist to develop and update standard documentation including assimilation of regional and local legal requirements in order to protect FedEx interests on contractual commitments, balance and optimize risks, gain greater commercial benefits and ensure FedEx is protected legally.

Government / Regulatory Affairs
Support the Government Affairs team to establish and maintain working relationships, as well as liaise with government officials, consultants and lobbying bodies across the region; actively participate in, and assist with, the industry associations and lobbying groups in SEA; draft, review and advise management on documents with regards to regulations (concerning matters such as aviation, customs, postal services, telecommunications and ground transport, warehousing and forwarding licenses); monitor and advise management on changes of laws and regulations within the region that may impact the business and operations; liaise on issues of currency regulations, foreign investment restrictions, subsidiary capitalization, banking and other relevant laws throughout the region in order to minimize FedEx exposure to risk, ensure legal compliance and advance FedEx interest through deregulation, enforce existing legal rights and create new rights and business opportunities for FedEx.
Litigation / Claims
Advise on the initiation, defense and settlement of claims, demands and litigation throughout the region; monitor compliance with claims policy and procedures of court, tribunal, conciliation, mediation and arbitration proceedings in order to limit FedEx payouts to legitimate and enforceable claims and ensure FedEx’ rights are protected.

Legal Advice
Review marketing materials distributed to customers and communications materials released to employees, the press and the public, supervise the maintenance and registration of corporate trademarks, services marks and domain names, protection of other intellectual property, monitor the use of FedEx trade names in the public domain and implement legal action, including litigation, against threats to FedEx rights in corporate names in order to avoid claims, minimize risks to FedEx and promote business opportunities.  Assist in the provision of weekly reports on legal and regulatory matters across the region.

Corporate Governance Issues
Assist in matters of corporate governance; supervise and ensure proper filing of corporate records, reports and other legal record-keeping; assist in corporate secretarial services.

Assist in developing training materials and deliver training to employees and vendors on corporate policies, claims and contract review policies and procedures, US trade sanctions, FCPA, and other relevant laws in order to minimize risks to FedEx by ensuring all employees understand FedEx corporate policies and procedures.

Support management on the preparation of budget and budget reports in order to achieve or exceed budget targets and manage expenses optimally.
