General Summary

To provide legal counsel, advice, review and direction to the corporation, its subsidiaries, various departments and to members of management to ensure effective operation in accordance with federal, state and local laws.

This position will be responsible for…

  • Provides legal counsel, advice, review and direction on an assigned basis to various departments and members of management on all levels, including executive management.
  • Acts as primary legal department contact for outside attorney communications on assigned projects/issues. Assists in review of laws, regulations, and ordinances affecting the corporation.
  • Counsels and advises all departments in response to questions/issues arising in course of day to day business of company.
  • Monitors and interprets changes to and trends in government and legislative policies at the federal, state, local or international level.
  • Determines impact on the company and advises senior management accordingly.
  • Recommends and implements specific company responses to changes in governmental and legislative policies.
  • May act as co-counsel in significant litigation on behalf of the company and participate in drafting court documents, take depositions and other discovery, formulate trial strategy and try the case.
  • Decides the appropriateness of either litigating or settling legal issues confronting the company and recommends action to mgmt and personnel, anticipating the financial impact and precedent on the company as a whole.
  • Performs complex research and investigations and designs, drafts and submits documents concerning legal issues to maintain compliance with various regulations; provides legal interpretation of laws and regulations.
  • Drafts and reviews legal documents and reviews proposed transactions to ensure maximum benefit to the corporation and minimum exposure to risk.
  • Renders assistance and counsel to all departments at FSC and subsidiaries on the meaning and application of the company's policies and procedures and on other legal matters to ensure compliance with applicable law and consistency with other policies in terms of company philosophy and goals. Negotiates the settlement of claims and suits against the company arising out of area of expertise and works with other personnel and outside counsel in the defense of claims and suits.
  • Creates, updates, and reviews policies and procedures to ensure that the company is operating in compliance with laws and regulations, and that regulatory reporting requirements are met.
  • Develops and delivers presentations and training to employees, including management, within area of responsibility.
  • Drafts, reviews and negotiates legal documents and reviews proposed transactions to ensure maximum benefit to the corporation and minimum exposure to risk.
  • Provides legal counsel on cross-functional and cross-operating company projects and initiatives.

Education/Experience

  • Juris doctorate degree from an ABA accredited law school and admission to the bar.
  • Six (6) years of experience and demonstrated competence as a practicing attorney in relevant area of law.
  • Superior academic record.
  • Excellent research and writing skills.
  • Strong negotiation, human relations and communications skills.
  • The successful candidate needs significant business transaction and contracting experience. Knowledge of third party logistics and regulatory compliance (EPA, FDA) experience preferred.
